Fastly CTO sells 33,579 shares

Artur Bergman’s $825,000 transaction was carried out under a pre-arranged Rule 10b5-1 plan.

Artur Bergman, chief technology officer of Fastly, Inc. (NASDAQ:FSLY), sold 33,579 shares of Class A common stock on September 14 and 15, according to a filing on SEC Form 4.

The transaction was valued at $825,000. The filing shows a weighted average sale price of $24.57 per share, while the stock closed at $24.30 on September 15.

After the sale, Bergman still held a sizeable stake in the company. His directly held position stood at 1,896,249 shares, while indirect holdings totaled 3,546,897 shares. Based on the September 15 closing price, the post-transaction value of those holdings was about $132.27 million.

The report noted that the sale was not a discretionary trade tied to short-term market timing. It was executed under a Rule 10b5-1 trading plan adopted several months earlier, a mechanism that allows corporate insiders to pre-arrange stock sales and reduce concerns about trading while in possession of material non-public information.

Even after the transaction, Bergman’s total beneficial ownership changed by less than 1%, as he continues to control more than 5.4 million shares through direct and indirect accounts. The indirect holdings are spread across several trusts in which he serves as trustee, settlor, or investment advisor, including The Per Artur Bergman Revocable Trust, two Artur Bergman Remainder Trusts, the PAB 2021 Remainder Trust, and two Per Artur Bergman Grantor Retained Annuity Trusts.
