Axon shares fall after plan to issue $1 billion in convertible notes

Investors reacted negatively to the planned sale of 0% convertible notes.

Axon Enterprise (AXON) shares failed to rebound early Wednesday, a day after the company ranked among the biggest losers in the S&P 500 on Tuesday. The selling pressure followed Axon’s plan to issue $1 billion in 0% convertible notes.

The Taser maker said the proceeds will be used for operations, acquisitions, investments, and the cost of the capped-call transaction. The company described that structure as a hedge intended to limit potential share dilution.

Investors nevertheless reacted negatively to the announcement. Markets often view convertible debt offerings cautiously because they can weigh on a stock, even when issuers try to offset dilution risk through hedging arrangements.

Based on the company’s statement, the planned financing is meant to strengthen Axon’s cash position and provide additional firepower for future business needs, acquisitions and investments.
